Banking and finance.

We advise Italian and foreign banks and financial institutions as well as issuers and subscribers of financial instruments in connection with diverse types of bank, financial and equity market transactions. We also act as defending counsel in liability actions arising from the issuance and negotiation of financial instruments, and offer legal advice in proceedings for supposed violations of finance and security laws and regulations. We advise clients in negotiating and setting up of company leverage buy-out acquisitions as well as venture capital deals.

As far as in-court activity is concerned, our firm also defends finance companies, financial brokers and investors in liability claims concerning the issuing and negotiation of securities and gives legal advice to the top management of finance companies and investment funds in proceedings for supposed violations of finance and security laws and regulations. At the present time, when leverage buy outs have been legalized also in Italy, and equity funds are becoming more and more common, we also advise on negotiations and financing operations leading to corporate acquisitions through debt finance, as well as arranging venture capital operations, preparing all of the contract and corporate documents needed to regulate public and private investors purchasing corporate equity.
